Agreement to terms
These Terms of Service ("Terms") form a binding agreement between you and Colliqe, Inc. ("Colliqe," "we," "us") governing access to and use of our websites, apps, APIs, and related services (collectively, the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms and our Privacy Policy.
If you are using Colliqe on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.
Eligibility & accounts
You must be at least the age of digital consent in your country to use Colliqe. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of unauthorized use.
Provide accurate registration information. We may suspend accounts with false, misleading, or incomplete details.
The service
Colliqe provides a virtual workspace for presence, collaboration, and team communication. Features may evolve; we may add, modify, or retire functionality. We strive for high availability but do not guarantee uninterrupted access. Planned maintenance and events outside our reasonable control may cause downtime.
Beta & preview features
Acceptable use
You agree not to misuse the Service. Without limitation, you must not:
- Violate any law or infringe others' rights (including privacy and intellectual property).
- Upload malware, probe or scan systems without authorization, or interfere with the Service's integrity.
- Harass, abuse, or harm other users; post unlawful, hateful, or exploitative content.
- Scrape, data-mine, or automate access except via documented APIs and within rate limits we publish.
- Resell or sublicense the Service without our written consent.
- Attempt to reverse engineer the Service except where applicable law prohibits that restriction.
We may investigate violations and cooperate with law enforcement. Consequences may include content removal, suspension, or termination.
Your content & our intellectual property
Your content. You retain ownership of content you submit to Colliqe. You grant us a worldwide, non-exclusive license to host, store, reproduce, display, and distribute your content solely to operate, improve, and secure the Service for you and your collaborators.
Our IP. Colliqe and its licensors own the Service, including software, branding, and documentation. Except for the limited rights expressly granted in these Terms, we reserve all rights.
Feedback. If you share ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
Third-party services
The Service may integrate with third-party tools (e.g., identity providers, calendars). Your use of those services is governed by their terms and privacy policies. Colliqe is not responsible for third-party products.
Disclaimers
To the fullest extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the service will be error-free, secure, or free of harmful components. You use the service at your own risk.
Limitation of liability
To the maximum extent permitted by applicable law, in no event will colliqe, its affiliates, or their respective directors, employees, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunities, arising out of or related to these terms or the service—even if advised of the possibility.
Our aggregate liability for all claims relating to the service in any twelve-month period is limited to the greater of (a) one hundred u.s. dollars or (b) the fees you paid colliqe for the service during that period. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the minimum permitted by law.
Indemnity
You will defend, indemnify, and hold harmless Colliqe and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.
Suspension & termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, pose a security risk, or if we discontinue the Service (with reasonable notice where practicable).
Upon termination, your right to use the Service ceases. We may delete your data after a grace period consistent with our Privacy Policy and backup practices. Provisions that by their nature should survive (e.g., liability limits, indemnity) will survive termination.
Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Courts in Delaware (or the U.S. federal courts located there) shall have exclusive jurisdiction, subject to mandatory consumer protections in your country of residence where applicable.
Changes to these terms
We may modify these Terms from time to time. If a change is material, we will provide reasonable notice (for example, by email or in-product notification). Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
